These Terms of Service ("Terms") form a binding agreement between you and Seller Success Room Pty Ltd ("SSR AI", "we", "us", "our") and govern your access to and use of the SSR AI platform, website, and related services (the "Platform"). By creating an account, subscribing to a paid plan, or otherwise using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms.
1. Eligibility & Accounts
You must be at least 18 years of age and legally capable of entering into a binding contract in your jurisdiction. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
2. Platform Usage
SSR AI provides AI-powered tools for online sellers, including product research, listing generation, imagery, supplier discovery, and launch guidance. The Platform is provided on a subscription basis and is intended for lawful commercial use only. Access is licensed, not sold, and is subject to the limits of your active plan.
3. User Responsibilities
- You will provide accurate, current, and complete information.
- You will not misuse, reverse-engineer, or attempt to disrupt the Platform.
- You are solely responsible for any content you generate using the Platform and for ensuring it complies with applicable laws and the policies of any marketplace on which you list (including but not limited to the Amazon and eBay Terms of Service).
4. Acceptable Use
You agree that you will not:
- Violate any law, regulation, or third-party right.
- Share, transfer, or sell access to your account.
- Abuse system resources, automate, scrape, or circumvent plan or rate limits.
- Reverse-engineer, decompile, or attempt to extract our models or source code.
- Generate misleading, deceptive, infringing, defamatory, or harmful content.
- Use the Platform unlawfully or to facilitate unlawful activity.
- Resell, sublicense, or redistribute access to the Platform without our written consent.
Violations may result in suspension or termination of your account without refund.
5. Intellectual Property
The Platform — including its software, models, branding, copy, and underlying data — is owned by Seller Success Room Pty Ltd and protected by intellectual property laws. You retain ownership of content you upload, and you grant us a limited, worldwide, royalty-free license to process and store that content as necessary to operate the Platform on your behalf.
6. Subscription Terms & Billing
Subscription fees are charged in advance for each billing cycle. Subscriptions automatically renew unless cancelled before the renewal date. Pricing is displayed on the Platform and may change with advance notice. Our order process is conducted by Stripe Payments, which acts as merchant of record and handles billing, returns, chargebacks, and applicable taxes on our behalf. By purchasing a subscription, you also agree to Stripe's Consumer Terms.
7. Service Availability
We strive for high availability but do not guarantee uninterrupted service. The Platform may be temporarily unavailable due to maintenance, updates, third-party outages, or factors beyond our reasonable control.
8. Account Suspension & Termination
We may suspend or terminate your account if you breach these Terms, engage in fraudulent or harmful behaviour, or fail to pay applicable fees. You may cancel your subscription at any time from your account settings; access remains available until the end of the current billing period.
9. Financial Loss Disclaimer
SSR AI provides software tools and AI-generated recommendations only. Business decisions and outcomes remain the sole responsibility of the user.
By using the Platform, you acknowledge that SSR AI does not guarantee:
- Product success
- Sales outcomes
- Profitability
- Marketplace approval (Amazon, eBay, or any other channel)
- Business growth or any specific financial result
You assume full responsibility for any commercial decision made based on outputs from the Platform, including product sourcing, pricing, listing submissions, advertising spend, and inventory commitments. To the maximum extent permitted by law, SSR AI is not liable for any direct, indirect, or consequential financial loss arising from your use of the Platform.
10. Limitation of Liability
To the maximum extent permitted by law, Seller Success Room Pty Ltd shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, goodwill, or data, arising from your use of or inability to use the Platform. Our total aggregate liability shall not exceed the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim.
11. General Disclaimer
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. AI-generated outputs are for informational purposes and must be reviewed by you before use. We do not warrant that the Platform will be error-free or that outputs will be accurate, complete, or fit for any particular purpose.
12. Modifications
We may modify these Terms or the Platform at any time. Material changes will be communicated via the Platform or by email. Where required, you will be asked to re-accept the updated Terms before continued use. Continued use after changes constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of Australia. Any disputes shall be resolved exclusively in the competent courts of Australia.
